Code of Conduct
1. Purpose
The purpose of this policy is to ensure that all volunteers, including members of the Board of Directors and committees, uphold the highest standards of integrity, professionalism, and respect while serving the Association. This Code promotes ethical behavior, responsible decision-making, and public trust in the Association’s leadership.
2. Scope
This policy applies to all Members, including Board of Directors and volunteers, acting on behalf of the Association, whether in person or virtually.
3. General Standards of Conduct
All members shall:
• Act in the best interests of the Association as a whole, not for personal or financial gain.
• Avoid any real or perceived conflict of interest and disclose potential conflicts promptly.
• Abide by the Association’s Articles of Incorporation, Bylaws, and policies, as well as all applicable laws.
• Conduct themselves in a professional, courteous, and respectful manner at all times.
• Maintain the confidentiality of sensitive or private information.
• Treat all individuals with dignity, fairness, and respect, free from discrimination or harassment.
4. Ethical Responsibilities
• Integrity and Fairness
- Do not use your position for personal advantage or to influence decisions for private benefit.
- Do not solicit or accept gifts, favors, or anything of monetary value from individuals or entities seeking business with the Association.
- Do not make promises or commitments on behalf of the Board or Association or Executive Director without authorization.
• Compliance and Accountability
- Make decisions consistent with the Association’s governing documents and mission.
- Represent the organization’s values in all professional and volunteer activities.
• Confidentiality
- Keep information related to personnel, contracts, or other sensitive matters strictly confidential.
- Respect the privacy of members, staff, and fellow volunteers.
• Respectful Conduct
- Differences of opinion are welcome, but discussions must remain civil and constructive.
- Personal attacks, defamation, harassment, or intimidation of any kind are strictly prohibited.
5. Conduct in Meetings
• Meetings will begin promptly as scheduled; members are expected to be punctual and attend for the full duration.
• Members should come prepared with all relevant materials and information.
• For virtual meetings, all participants are expected to be present on camera.
• Members shall be courteous, attentive, and respectful, even during disagreements. Personal attacks or inappropriate language will not be tolerated.
• A staff member must be present at all official association meetings discussing association business
6. Interactions with Staff and Vendors
• Board and committee members shall not interfere with staff duties or the work of volunteers.
• All directives with staff and vendors should be coordinated through the Executive Director or Board President, in accordance with established procedures.
7. Violations of the Code
• Alleged violations of this Code shall be reported to the Executive Committee or Board President for review.
• The Executive Committee may investigate and recommend corrective action, which may include verbal warning, removal from committee service, or referral to the full Board for disciplinary action.
• In cases of serious misconduct, the Board may seek appropriate remedies as allowed under governing documents or law.
8. Acknowledgment
All Members, including Board members, committee members, and volunteers, must physically acknowledge confirming that they have read, understand, and agree to comply with this Code of Conduct.
